This Website Creation Service Agreement (“Agreement”) is entered into by and between Elena Ferranto (“Service Provider”) and the purchasing client (“Client”).
By (a) submitting payment via the Service Provider’s website, OR (b) sending payment via Zelle or any other method, OR (c) providing written confirmation (email, message, etc.), the Client acknowledges and agrees to the following terms.
1. Scope of ServicesThe Service Provider will deliver a website creation and technical setup package, which includes:
- Website design and build on Tilda including the following features: landing page, about/services, contact form, payment feature, optional custom page)
- Domain connection and setup (GoDaddy or similar provider)
- SSL/HTTPS configuration
- Stripe payment integration
- One recorded training session on how to use and edit the website
Revisions:
Includes up to 2 rounds of revisions. A “round” is defined as a single consolidated list of feedback submitted by the Client at one time.
Additional revisions or new requests will be quoted separately.
2. Third-Party PlatformsThis project involves third-party platforms including (but not limited to) Tilda, Stripe, and GoDaddy.
- All third-party fees are the responsibility of the Client
- The Service Provider is not responsible for outages, errors, account issues, payment processor holds, or changes made by third-party platforms
- The Service Provider is not liable for any revenue loss or business interruption caused by third-party services
3. Client ResponsibilitiesThe Client agrees to:
- Provide all required content (text, images, branding assets) in a timely manner
- Ensure all materials comply with copyright, trademark, and applicable laws
- Provide feedback and approvals within a reasonable timeframe
- Set up and maintain necessary third-party accounts
Delays:
Delays in providing content or feedback may extend the timeline.
If the Client is unresponsive for 14 days, the project may be paused or considered complete without refund.
4. Timeline & CompletionThe project is considered complete upon completion of the 6-month support.
5. PaymentTotal fee: $1,980 USD
- Payment is due in full prior to the start of the project unless otherwise agreed
- All payments are final and subject to the refund policy below
6. Refund PolicyDue to the nature of digital services:
- All payments are non-refundable once work has commenced
- Work is considered commenced upon the earliest of: onboarding, strategy discussion, or any time spent on the project
- If the project is canceled before work begins, a partial refund may be issued at the Service Provider’s discretion
7. Support (6 Months)The 6-month support period begins on the date when a live preview link is provided.
Includes:
- Answers to questions via email or messaging
- Assistance with technical issues related to the delivered website
Does NOT include:
- New pages, redesigns, or feature additions
- Copywriting, strategy, or marketing work
- Major structural or functionality changes
Support is provided on a reasonable-use basis.
Response time is typically within 2 business days.
8. Scope ChangesAny work outside the agreed scope will be quoted and billed separately at the Service Provider’s current rate.
9. OwnershipUpon full payment:
- The Client owns the final website and provided content
- The Service Provider retains ownership of underlying methods, templates, systems, and processes
- Third-party assets (fonts, software, integrations) remain subject to their respective licenses
The Service Provider may showcase the work in portfolio and marketing materials.
10. No GuaranteesThe Service Provider makes no guarantees regarding:
- Sales
- Conversions
- Traffic
- Business performance
11. Disclaimer of WarrantiesAll services are provided “as is” and “as available”, without warranties of any kind, express or implied, including but not limited to fitness for a particular purpose or expected results.
12. Limitation of LiabilityTo the fullest extent permitted by law:
- The Service Provider shall not be liable for any indirect, incidental, consequential, or special damages, including lost profits, lost revenue, data loss, or business interruption
- Total liability is limited to the total amount paid by the Client for the Services
13. IndemnificationThe Client agrees to indemnify and hold harmless the Service Provider from any claims, damages, or legal issues arising from:
- Client-provided content
- Use of the website
- Client’s business activities
14. Post-Delivery ResponsibilityThe Service Provider is not responsible for errors, damages, or issues resulting from:
- Changes made by the Client or third parties
- Improper use of the website
- Third-party platform updates or failures
15. TerminationEither party may terminate the project with written notice.
- If the Client terminates the project after work has commenced, no refunds will be issued for work already performed.
- If the Service Provider terminates the project, the Client will be responsible for payment for all work completed up to the termination date, and any unused portion of the fee will be refunded on a prorated basis.
16. Independent ContractorThe Service Provider is an independent contractor and not an employee, partner, or joint venture of the Client.
17. Force MajeureNeither party shall be liable for delays or failure to perform due to causes beyond reasonable control, including but not limited to illness, natural disasters, or platform outages.
18. Governing Law & VenueThis Agreement shall be governed by the laws of the State of California.
Any disputes shall be resolved in the courts located in San Diego County, California.
19. Entire AgreementThis Agreement constitutes the entire understanding between the parties and supersedes all prior discussions.
20. Severability & WaiverIf any provision is found unenforceable, the remaining provisions will remain in effect.
Failure to enforce any provision does not constitute a waiver.
21. AcceptanceBy submitting payment or providing written confirmation, the Client acknowledges that they have read, understood, and agreed to these terms.
